1. Agreement to Terms

By accessing or using the Dark Hour Labs website and services, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our website or services.

2. Services

Dark Hour Labs provides IT consulting, cybersecurity advisory, AI agent development, and process automation services. The specific scope, deliverables, and terms of any engagement will be defined in a separate Statement of Work (SOW) or service agreement.

3. Intellectual Property

All content on this website — including text, graphics, logos, and code — is the property of Dark Hour Labs or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

Unless otherwise agreed in writing, custom solutions, code, and deliverables created for a client will be governed by the terms specified in the applicable SOW.

4. Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information necessary for the engagement.
• Respond to requests for information or approval in a timely manner.
• Ensure you have the right to provide any materials, data, or access you share with us.
• Review and test deliverables within the timeframes specified in your agreement.

5. Confidentiality

We treat all client information as confidential. We will not disclose, share, or sell your proprietary information to third parties without your consent, except as required by law or as necessary to provide our services (e.g., with subcontractors under confidentiality agreements).

6. Limitation of Liability

To the maximum extent permitted by law:

• Dark Hour Labs provides services and this website "as is" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website.
• Our total liability for any claim shall not exceed the amount you paid us for the specific service giving rise to the claim.

7. Indemnification

You agree to indemnify and hold harmless Dark Hour Labs, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, your violation of these terms, or your infringement of any third-party rights.

8. Payment Terms

Payment terms for consulting engagements will be specified in the applicable SOW or invoice. Unless otherwise agreed:

• Invoices are due within 30 days of issuance.
• Late payments may incur interest at 1.5% per month.
• We reserve the right to suspend services for accounts that are more than 30 days overdue.

9. Termination

Either party may terminate a service engagement with 30 days' written notice. Upon termination:

• You are responsible for payment of all work completed to date.
• We will deliver any completed deliverables in your possession.
• Confidentiality obligations survive termination.

10. Website Use

You agree not to:

• Use our website for any unlawful purpose.
• Attempt to gain unauthorized access to our systems or networks.
• Interfere with the proper functioning of our website.
• Submit malicious code, spam, or false information through our contact form.

11. Third-Party Services

Our website may link to or integrate with third-party services. We are not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

12. Dispute Resolution

Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, in Tampa, Florida.

13. Governing Law

These Terms & Conditions are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.

We may update these Terms & Conditions from time to time. We will post the updated version on this page with a revised "Last updated" date. Continued use of our website or services after changes constitutes acceptance of the updated terms.
